ARTICLE I. POLICY FOUNDATION AND STRATEGIC FRAMEWORK
Section 1.01 Executive Statement and Strategic Commitment
Assivo, Inc., an Illinois corporation ("Assivo," "Company," "we," "us," or "our"), recognizes artificial intelligence as a transformative technology that presents unprecedented opportunities for innovation, operational efficiency, and value creation, while simultaneously requiring principled governance frameworks to address associated risks and ethical considerations.
This Global Artificial Intelligence Governance Policy (this "Policy") establishes the comprehensive framework governing the research, development, procurement, deployment, and oversight of artificial intelligence systems across all Assivo operations, subsidiaries, and controlled affiliates worldwide.
Section 1.02 Policy Scope and Universal Application
(a) Comprehensive Coverage. This Policy applies to all Assivo entities, personnel, contractors, consultants, and third-party partners involved in artificial intelligence activities conducted on behalf of or in connection with Assivo operations across our global presence in Chicago, Mexico City, Mumbai, Chennai, and all other operational locations.
(b) Technology Scope and Definition. This Policy governs all forms of artificial intelligence, machine learning, deep learning, natural language processing, computer vision, robotic process automation, automated decision-making systems, and emerging AI technologies regardless of deployment model or operational context.
(c) Lifecycle Governance. This Policy addresses the complete AI system lifecycle from conceptualization, research, and development through deployment, monitoring, maintenance, enhancement, and eventual decommissioning or replacement.
Section 1.03 Definitions and Interpretation Framework
For purposes of this Policy, the following terms shall have the meanings set forth below:
(a) "AI System" means any software application, algorithm, or technology platform that exhibits intelligent behavior by analyzing data, learning from experience, and making autonomous or semi-autonomous decisions to achieve specified objectives.
(b) "Algorithmic Accountability" means the principle that AI systems should be subject to appropriate oversight, explanation capabilities, and clear responsibility assignment for their decisions, outputs, and consequences.
(c) "Algorithmic Bias" means systematic and unfair discrimination against certain individuals, groups, or characteristics manifested in AI system outputs, decisions, or recommendations.
(d) "Explainable AI" means artificial intelligence systems designed and implemented to provide clear, understandable explanations for their decision-making processes, reasoning logic, and output generation.
(e) "High-Risk AI System" means an AI system that poses significant potential for harm to individuals, groups, organizations, or society, including systems affecting fundamental rights, safety-critical applications, or essential infrastructure.
(f) "Human-in-the-Loop" means AI system design architecture requiring meaningful human oversight, intervention capability, and ultimate decision-making authority for critical determinations affecting stakeholders.
ARTICLE II. AI GOVERNANCE STRUCTURE AND ACCOUNTABILITY FRAMEWORK
Section 2.01 AI & Technology Committee Governance
2.01.1 Committee Composition and Authority Structure
The AI & Technology Committee (the "Committee") serves as the principal governance body for all AI-related matters, comprising the following members with designated roles and responsibilities:
(a) Technology Officer (Committee Chair): Executive leadership and strategic direction for AI governance, policy development, and implementation oversight;
(b) General Counsel: Legal and regulatory compliance, risk assessment, ethical considerations, and stakeholder protection;
(c) Operations Officer: Operational integration, service delivery impact, business process optimization, and performance management;
(d) Senior Technical Representatives: Information Technology, Risk Management, and Operations leadership providing technical expertise and functional perspective;
(e) External Advisory Members: Independent experts with recognized expertise in AI ethics, technology governance, and regulatory compliance providing objective guidance and industry perspective;
(f) Additional Designated Members: Such additional members as the Committee may determine appropriate based on specific expertise requirements, project needs, or governance considerations.
2.01.2 Committee Responsibilities and Decision-Making Authority
The Committee shall exercise the following responsibilities and decision-making authority:
(a) Strategic Oversight and Direction: Review, evaluation, and approval of AI strategies, major initiatives, and significant implementation decisions affecting organizational AI capabilities and risk profile;
(b) Risk Management and Mitigation: Comprehensive assessment, monitoring, and mitigation of AI-related risks across technical, operational, legal, ethical, and reputational dimensions;
(c) Regulatory Compliance and Standards Adherence: Ensuring compliance with applicable AI regulations, industry standards, and emerging legal requirements across all operational jurisdictions;
(d) Ethical Governance and Stakeholder Protection: Oversight of ethical AI practices, responsible development methodologies, and protection of stakeholder rights and interests;
(e) Vendor Relationship Management: Approval and oversight of AI vendor relationships, third-party AI services, and external AI technology partnerships;
(f) Policy Development and Maintenance: Development, review, and updating of AI governance policies, procedures, and standards in response to technological, regulatory, and business developments;
(g) Incident Response Oversight: Supervision of AI-related incident response activities, corrective action implementation, and lessons learned integration;
(h) Executive and Principal Reporting: Regular reporting to executive leadership and the Principal on AI governance matters, risk management, compliance status, and strategic recommendations.
Section 2.02 Executive Accountability and Leadership Framework
2.02.1 Executive Leadership Responsibilities
Executive accountability for AI governance is distributed across leadership roles with clear responsibility assignments:
(a) Principal: Ultimate strategic accountability for AI alignment with business objectives, stakeholder expectations, resource allocation decisions, and organizational risk tolerance establishment;
(b) Technology Officer: Technical oversight of AI development methodologies, deployment procedures, performance management, and integration with existing technology infrastructure and capabilities;
(c) Operations Officer: Operational integration of AI systems with business processes, service delivery optimization, client impact management, and operational risk assessment and mitigation;
(d) General Counsel: Legal and regulatory compliance oversight, ethical considerations evaluation, contract and vendor management, and stakeholder protection and rights management.
2.02.2 Operational Management Structure and Implementation
(a) Regional Technology Directors: Local implementation of AI governance requirements, cultural adaptation considerations, regional compliance management, and coordination with global AI governance frameworks;
(b) AI Development and Engineering Teams: Technical implementation of governance requirements, ethical design principles integration, security and privacy controls implementation, and quality assurance procedures;
(c) Risk Management Teams: AI risk identification, assessment, and mitigation activities, risk monitoring and reporting, and integration with enterprise risk management frameworks;
(d) Compliance and Legal Teams: Regulatory compliance monitoring, audit support activities, corrective action implementation, and legal and regulatory risk assessment and management.
Section 2.03 Executive Leadership Oversight and Strategic Direction
2.03.1 Strategic Governance Responsibilities
Executive leadership maintains comprehensive oversight responsibility including:
(a) AI Strategy Development and Approval: Strategic direction establishment, investment prioritization, capability development planning, and alignment with overall business strategy and objectives;
(b) Risk Appetite and Tolerance Definition: Establishment of organizational AI risk tolerance parameters, acceptable risk levels, and risk management expectations across different AI application domains and use cases;
(c) Resource Allocation and Investment Authorization: Authorization of significant AI investments, resource commitments, infrastructure development, and capability building initiatives;
(d) Performance Oversight and Value Realization: Monitoring of AI contribution to business performance, value creation measurement, return on investment assessment, and strategic objective achievement;
(e) Regulatory Compliance and Legal Risk Management: Ensuring appropriate compliance with evolving AI regulations, legal risk assessment, and proactive management of regulatory relationships and requirements;
(f) Stakeholder Protection and Value Creation: Safeguarding interests of clients, employees, shareholders, and broader society while maximizing value creation and competitive advantage through responsible AI deployment.

(b) Meaningful Human Oversight and Control: Critical decisions affecting individuals, groups, or significant business outcomes shall maintain meaningful human oversight, intervention capability, and ultimate human decision-making authority with appropriate escalation and review procedures.
(c) Human Agency Enhancement: AI systems shall be designed to augment and enhance human capabilities, decision-making capacity, and professional effectiveness rather than replace human judgment in matters significantly affecting individual welfare, rights, or opportunities.
(d) Empowerment and Capability Development: AI deployment shall focus on empowering individuals and organizations to achieve better outcomes, develop enhanced capabilities, and make more informed decisions rather than creating dependency or diminishing human agency.

(a) Bias Prevention and Mitigation: AI systems shall be systematically designed, rigorously tested, and continuously monitored to prevent discriminatory outcomes, minimize algorithmic bias, and ensure fair treatment across diverse populations and demographic groups.
(b) Inclusive Development Methodologies: AI development processes shall incorporate diverse perspectives, representative datasets, varied use cases, and comprehensive impact assessments to ensure inclusive design and equitable outcomes for all affected stakeholders.
(c) Equitable Access and Benefit Distribution: AI-generated benefits and opportunities shall be distributed fairly across affected stakeholder groups with particular attention to ensuring that AI deployment does not exacerbate existing inequalities or create new forms of discrimination.

(c) Process Documentation and Audit Trails: Comprehensive documentation shall be maintained regarding AI system capabilities, limitations, decision-making processes, training data characteristics, and performance metrics to support accountability and oversight requirements.
(d) Stakeholder Communication and Education: Clear, accessible communication shall be provided to relevant stakeholders about AI system use, capabilities, limitations, and the mechanisms available for feedback, appeal, or redress of AI-related decisions.

(b) Regulatory Documentation and Record-Keeping: Maintenance of comprehensive documentation supporting regulatory compliance including AI system documentation, risk assessments, impact evaluations, and compliance validation records required by applicable regulations.
(c) Audit Readiness and Regulatory Cooperation: Maintenance of audit-ready documentation, processes, and evidence supporting compliance with AI regulations and standards with established procedures for regulatory cooperation and information sharing.
